Magnet Accelerator will provide you with your own office space for the entire period of acceleration, right in the middle of Be'er Sheva's high-tech park, Gav-Yam Negev.


A leadership team will show you the way and make sure you are not forgetting anything behind or getting off track. Your startup will be put at the highest of standards, making sure that you're ready for the "BIG leagues" by the end of the accelerator.

Terms of Participation

Tech7 welcomes you to become a part of the Magnet Acceleration Program (the “Program”).

Please read the below terms thoughtfully and check “agree” to accept.

These Magnet Accelerator – Terms of Participation (“Terms of Participation”) entered into as of the date you submit your application (the “Effective Date”), specify the terms under which, if you are accepted into the Program, you will be provided with certain services by Tech7 Entrepreneurship and Innovation Community (R.A.), registration no. 580651123 (the “Accelerator”). By agreeing to these Terms of Participation, you acknowledge that you have also read, understood, and agreed to the following (which are integrated hereto): (i) our Program Activities (available at [ ]) (the “Program Activities”), (ii) the Workspace Agreement (available at [ ]) (the “Workspace Agreement”), and (iii) the Privacy Policy (available at [ ]). You agree to be bound by these Terms of Participation and acknowledge that these Terms of Participation constitute a binding and enforceable contract between the Accelerator and you.

Your application to the Program does not guarantee your acceptance into it. Your acceptance into the Program is at the sole and absolute discretion of the Accelerator and you shall not have any claim against the Accelerator if you are not accepted into the Program for any reason.

1. Services

1.1. The Accelerator shall use commercially reasonable efforts to make the following generally described services (“Services”) during the Term (as defined below):

a. use of the Accelerator’s open work space, in accordance with the terms and conditions set forth in the Workspace Agreement;
b. meetings with investors and other relevant connections facilitated by the Accelerator;
c. ongoing business guidance, including assistance in business planning, introducing you to mentors and other relevant parties from various disciplines, as set forth in the Program Activities;
d. access to and receipt of certain guidance from, the sponsors or other affiliates of the Accelerator; and
e. mentoring (including via third parties) in the fields of technology, business, legal and other fields related to your work, at such scope and frequency as shall be determined by the mentors and in accordance with each mentor’s schedule or the Accelerator in consultation with you and other participants in the Accelerator.

1.2. The Accelerator does not promise, warrant or guarantee that the Services will accomplish any specific result for you, will improve or add value to your business or financial operations or ensure your success or profitability. You acknowledge and agree that in regards with Services that are advisory in nature, your final decision as to whether to follow such advice rests with you. You waive any claims (including negligence, misrepresentation, or other contract or tort claim), that may arise at any time against the Accelerator, or anyone on its behalf (including but not limited to mentors, consultants and other advisory in nature providers).

2. Participants Representation and Undertakings

2.1. You hereby represent that entering into these Terms of Participation does not cause any breach of any commitment that you may have to any third party.

2.2. As part of your participation in the Program, you and your team members, including any team members who will join following the commencement of the Program, shall be obliged to take part in all of the Accelerator’s activities (as further detailed in the Program Activities), which shall be at the Accelerator sole discretion.

2.3. You hereby represent and warrant that all of the information you provided to the Accelerator in your application or otherwise, and all information you will provide in the future, is true, accurate, and complete, and does not omit any material facts. You further represent that you own, or have sufficient rights to, all of the intellectual property you present to the Accelerator or develop in the Program.

3. Consideration 

3.1. It is agreed that you will not be required to make any payment to the Accelerator in consideration for the Services to be provided hereunder including but not limited to, by means of equity investment, purchase of share capital and/or assets, any employment possibility, etc.

3.2. It is hereby clarified, that the Accelerator or any of its affiliates does not promise, warrant or guarantee any future engagement with you following the completion of the Program.

4. Relationship of the Parties 

4.1. Nothing in these Terms of Participation shall be construed as creating employment, partnership, agency or joint venture relations between the parties or any of their personnel or affiliates. You are responsible for the supervision, control, compensation, withholdings, health and safety of your personnel. Nothing in these Terms of Participation shall prevent or in any way restrict any of the parties, their affiliates or their respective representatives from working with or for or investing in, an entity that competes directly or indirectly with, or has products, services or technology similar or adverse to, the other party or the other party’s products or services or solutions.

5. Limitation of Liability

5.1. In no event shall the Accelerator, or its personnel or affiliates, bear any liability towards you, your team, or your affiliates in connection with your intellectual property, products, business, or anything else developed by you in the Program, nor shall you have any claim against the Accelerator, or its personnel or affiliates, for the results, either positive or negative, of the Program.

5.2. In no event will either party, or their personnel or affiliates, be liable to the other party for any lost revenues, lost profits, incidental, indirect, consequential, special or punitive damages. This mutual limitation of liability does not limit your liability for any third party claims resulting from acts or omissions or misrepresentations of you or anyone on your behalf, which in the event of such claim you shall fully indemnify the Accelerator, and/or does not limit the liability of the Accelerator for any third party claims resulting from acts or omissions or misrepresentations of the Accelerator or anyone on its behalf, which in the event of such claim the Accelerator shall fully indemnity you.

6. Publicity

6.1. You shall not use the name or logo of the Accelerator or any of its affiliates for any purpose without obtaining the prior written consent of the Accelerator and its pre-approval, in writing, of the content, manner, location and any other related aspects of any publication. The Accelerator is entitled, during the Term and thereafter, to use your logo for any reasonable publication and use your public non-confidential information in any publication.

7. Term and Termination

7.1. These Terms of Participation shall be effective from the Effective Date and until June 30th 2021 (“Term”); provided however, that the Accelerator may terminate these Terms of Participation at any time, upon seven days written notice to you, and that either party may terminate these Terms of Participation, without any compensation or charge, in case of (a) a material breach of these Terms of Participation or program policy available at [-] by the other party, which, if curable, is not cured within seven days following the receipt of a written notice with respect to such material breach; or (b) the other party becomes insolvent or files or has filed against it a petition in bankruptcy, to the extent permitted by law, with an immediate effect, upon written notice to the other party.

7.2. Sections ‎4 (Relationship of the Parties), ‎5 (Limitation of Liability), ‎6 (Publicity), ‎7.2 (Consequences of Termination), and ‎8 (Miscellaneous) shall survive termination of these Terms of Participation for whatever reason.

8. Miscellaneous

8.1. The preamble and exhibits to these Terms of Participation constitute an integral part hereof. The headings in these Terms of Participation are intended strictly for convenience and shall not be used to interpret or construe its provisions. These Terms of Participation may be executed in counterparts, all of which taken together will constitute one instrument. These Terms of Participation and the exhibits, constitute the entire understanding between the parties hereto with respect to the subject matter contained herein, and supersede and replace all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter.

8.2. These Terms of Participation shall be governed by and construed according to the laws of the State of Israel, without regard to the conflict of laws provisions thereof. Any dispute arising under or in relation to these Terms of Participation shall be resolved exclusively in the competent court for Tel Aviv-Jaffa district, and each of the parties hereby irrevocably submits to the exclusive jurisdiction of such court.

8.3. These Terms of Participation may not be assigned, transferred, or otherwise encumbered by either Party without the prior written consent of all parties. These Terms of Participation may be amended or supplemented only by a written instrument duly executed by the parties hereto.

Exhibit B

Workspace Agreement

1. Services: In exchange for participation in the Magnet Accelerator (“Program”), as described in the Magnet Accelerator – Terms of Participation, to which this Workspace Agreement is attached as an exhibit (“Accelerator Terms”), the Accelerator will use commercially reasonable efforts to provide you with the services it customarily provides to its customers (the “Services”) in the open work space at the Accelerator’s facilities (the “Premises”) for you and your team participating in your project (the “Individuals”) at such times as shall be specified by the Accelerator (the “Office Hours”).

2. Use of Premises: The Premises may only be used for general office purposes and all uses ancillary thereto. You shall (and shall ensure that your guests and employees) conduct yourself in accordance with the rules of conduct issued by the Accelerator from time to time. You shall not, and shall ensure that your guests and employees do not, interfere or disturb the use, or occupancy, of the Premises by the Accelerator, or any other member or occupant of the Premises. Notwithstanding anything to the contrary herein, you will have access to Premises only during Office Hours.

3. Confidentiality: You agree that you shall not use, review, accept, transmit, publish or otherwise avail yourself in any way of the property of the Accelerator or any other user of the Premises, including, but not limited to, materials, products, ideas or information and shall instruct all people entering the Premises on your behalf and all of its guests of such restriction and require such people to abide by such restriction. You understand that the Premises are used as an open space and thus all users of the Premises have access to information, documentation therein as well as the ability to hear all conversations occurring at the Premises. Therefore, it is agreed that the Accelerator cannot and will not ensure the confidentiality of yours proprietary or confidential information, documentation and/or discussions.

4. Use of Member Name: You hereby authorize the Accelerator to publish and otherwise publicly use your name, trademark, logo and other distinctive brand features identifying you as a member of the Program and as it may otherwise deem fit including for promotional purposes.

5. Terms: The term of this Workspace Agreement (the “Term”) shall be for so long as the Accelerator Terms are in effect.

6. Termination: Your rights under this Workspace Agreement will terminate automatically without notice from the Accelerator upon conclusion of the Term. The Accelerator shall have the right to terminate this Workspace Agreement by providing you with a notice (a) seven days in advance, or (b) without prior notice and with immediate effect upon a breach by you of the Workspace Agreement and/or the Accelerator Terms.
Sections ‎3 (Confidentiality), ‎6 (Termination), ‎9 (Waiver of Claims), ‎10 (Limitation of Liability), and ‎11 (Miscellaneous) shall survive termination of these Terms of Participation for whatever reason.

7. Condition of the Premises: You represent that you have made a thorough inspection of the Premises and agree to take the same in its condition “AS-IS” as of the beginning of the Term, and the Accelerator shall have no obligation to alter, improve or decorate the Premises for your use and/or occupancy.

8. Internet Access: You represent that you have made a thorough inspection of the Premises and agree to take the same in its condition “AS-IS” as of the beginning of the Term, and the Accelerator shall have no obligation to alter, improve or decorate the Premises for your use and/or occupancy.

a. Internet Connection: As part of the Services, you will be provided a wireless internet signal within the Premises. You are prohibited from using a mail server, hosting internal websites, dispatching broad based emails (spamming), utilizing internal FTP servers, applications, or practices that the Accelerator deems to utilize excessive bandwidth.
b. Internet Security: In order to protect computer(s) of members, it is your sole responsibility to provide its own firewall and anti-virus protection on its computer(s). You shall notify us in any case of hacking, ransomware, or any other malware you or the Accelerator have been infected with.
c. No Liability: Wireless internet signal and telephone access are provided by third-party providers. Therefore, the Accelerator accepts no liability for any suspension, interruption, temporary unavailability, loss of data or fault occurring in said service or any of the consequences thereof.

9. Waiver of Claims: To the extent permitted by law, you, on your own behalf and on behalf of your employees, consultants, agents, guests and invitees, waive any and all claims and right against the Accelerator and any of their respective officers, directors, shareholders and representatives (the “Relieved Parties”), resulting from injury or damage to, or destruction, theft, or loss of, any property or person.

10. Limitation of Liability: None of the Relieved Parties will be liable under any cause of action, for any indirect, special, incidental, consequential, reliance or punitive damages, including loss of profits or business interruption.

11. Miscellaneous: The provisions of Section ‎8 of the Accelerator Terms shall apply to this Workspace Agreement, mutatis mutandis.

תוכנית לקידום כלכלת הזנק בנגב UpNegev

נוהל פעילות למאיץ סטארטאפים Magnet


Tech7 הינה עמותה הפועלת מאז 2015 לטיפוח סביבת יזמות טכנולוגית מובילה ברמה עולמית בנגב. העמותה מאיצה את התפתחות האקוסיסטם המקומי על ידי חיבור השחקנים המשמעותיים במערכת היזמות המקומית: אקדמיה, מגזר שלישי, פרטי וציבורי. כגוף העומד בלב האקוסיסטם, העמותה מזהה את נקודות החיבור האפשריות בין השחקנים השונים, תוך שימוש מושכל ביתרונות היחסיים של כל אחד.

מטרת העמותה הינה פיתוח חברתי כלכלי של האזור על ידי הגדלת האטרקטיביות שלו ליזמים וחברות הייטק, באמצעות יצירת פעילות ערה בנושאי חדשנות, הייטק וסטארטאפ, תוך שיתופי פעולה עם השחקנים והגופים השונים בתחומים אלו. הארגון פונה לקהל יעד רחב בכל הגילאים, החל מילדים ונוער דרך סטודנטים וצעירים וכלה באזרחים ותיקים, זאת מתוך אמונה כי יזמות וחדשנות מתאימים לכל גיל.

היקף הגיוסים של סטארטאפים בנגב הוא עשרות מיליוני שקלים בשנה וזרימה מבורכת זו לתוך האזור מייצרת מקומות עבודה בתחומים מבוקשים, מעודדת הגירה חיובית ומייצרת כלכלה משנית לספקים ונותני שירותים.

במסגרת התוכנית ישתפו פעולה הרשות לפיתוח הנגב ועמותת טק שבע קהילת יזמות וחדשנות במסגרת מיזם משותף במטרה לקדם חברות הזנק בנגב. הפעילות תספק הכשרה והנגשת כלים, ידע ורישות לחברות הזנק בכל המרחב.

במסגרת התוכנית תוקם ועדת היגוי משותפת לרשות לפיתוח הנגב ועמותת טק שבע קהילת יזמות וחדשנות (להלן "ועדת ההיגוי").

1. מבנה התכנית

תוכנית האצה לסטארטאפים Magnet (להלן "המאיץ") הינה תוכנית שתפקידה לאתר חברות סטארטאפ מבטיחות בנגב ולתת להן במשך 3 חודשים סיוע מיטבי להצלחה וביסוס החברה בנגב.

2. מטרות התוכנית

● איתור חברות סטארטאפ נגביות, מיפוי צרכים והצעת סיוע
● הגדלת סיכויי ההצלחה של חברות המתקבלות לתוכנית
● השבחת החברות המתקבלות לתוכנית וסיוע להן בגיוס כסף
● יצירת אדווה חיובית באיזור לקהילת היזמים הטכנולוגים
● להוות נדבך משמעותי במיתוג האזור כמעודד חדשנות

3. קהל היעד

ככלל, התוכנית מיועדת לצוותים של 2-4 מייסדים, בעלי רעיון מגובש למיזם טכנולוגי-עסקי, המסוגל להגיע לאבטיפוס / מכירות / תוצאה מחקרית משמעותית, בכוחות עצמו.
ועדת המיון רשאית לקבל לתכנית צוות בהרכב שונה בהתאם לשיקול דעתה הבלעדי.

4. יעדים

● גיוס של 5 חברות סטארטאפ לכל מחזור (לועדת ההיגוי שמורה הזכות להקטין או להגדיל נתון זה).
● הגדלת הזיקה בין החברה לנגב כך שהחברה תתבסס במקום, ותעסיק עובדים וספקים מקומיים.
● חשיפת הסטארטאפים למשקיעי הון סיכון והזדמנויות אחרות על מנת להביא את החברה לגיוס כסף ומכירות.

5. תנאי סף

● רשאיות להגיש חברות סטארטאפ מאוגדות או חבר בני אדם המתגורר בנגב שבכוונתו להתאגד כחברה ולפעול כסטארטאפ בנגב בקשה כאמור תותנה בהתאגדות המבקשים כחברה בע"מ טרם תחילת התכנית. ועדת ההיגוי רשאית לשקול מועמדויות של בקשות שמקום מגורי החברים בהן מחוץ לנגב המצהירות כי בכוונתן להקים או להעביר את פעילותן לנגב בכפוף להחלטת וועדת המכרזים ברשות לפיתוח בנגב.
● לצוות המגיש יכולת פיתוח בסיסית של המוצר, בעצמו.

6. שלב א' – מיון ראשוני למעבר לועדת המיון

● צוותים מועמדים ימלאו בקשה מקוונת באתר המאיץ הכוללת פרטים על הצוות והמוצר שלו.
● בנוסף יגישו הצוותים תקציר מנהלים ו/או מצגת למשקיעים (Pitch Deck) המצורפת לבקשה.
● הגשות המועמדים ידורגו על בסיס הקריטריונים הבאים:
א. נסיון ויכולות הצוות – 45%
ב. בשלות המיזם – 30%
ג. המוצר והפוטנציאל העסקי שלו – 25%
● 15 המועמדויות בעלות הציון הגבוה ביותר יוזמנו לשלב הבא – ועדת מיון פרונטלית.

7. שלב ב' – ועדת המיון

● ועדת המיון תורכב מנציג עמותת טק שבע קהילת יזמות וחדשנות, נציג הרשות לפיתוח הנגב ולפחות זוג נציגים נוספים מתעשיית ההייטק הלאומית.
● תפקידה של ועדת המיון לדרג את המיזמים ע"פ הקריטריונים המצוינים מעלה והתרשמות כללית במשקולות שוות.
● 5 המועמדויות בעלות הדירוג הגבוה ביותר יתקבלו לתוכנית, כפוף לאישור ועדת ההיגוי.

8. ועדת היגוי

● הועדה רשאית לפסול מועמד בכל עת מכל טעם סביר ובלבד שתנמק זאת ובפרט מטעמים אתיים הנוגעים להליך המיון או לתחומי העיסוק של המגיש.
● הועדה רשאית לדחות מועמד אם תעריך כי אין ביכולתה של התוכנית לספק שירות נאות למועמד עקב אופיו הספציפי של המיזם.
● היה ודחתה ועדת ההיגוי מועמדות, תיבחן המועמדות עם הציון הגבוה ביותר אחריה.
● לוועדה סמכות לאשר מועמדות בכפוף לשינויים שיידרשו על ידה
● לנציגי הרשות לפיתוח הנגב בוועדה יהא קול מכריע.

9. שירותים שיוענקו לצוותים שיתקבלו בכפוף לעמידה בתנאי נוהל זה

● חלל עבודה משרדי בפארק ההייטק גב-ים נגב
● פגישות עם משקיעי הון סיכון לשם הצעת החברה להשקעה
● ליווי והכוונה לפעילות החברה
● גישה ליועצים ומנטורים בכל התחומים הרלוונטיים לחברת הזנק
● סדנאות מקצועיות וממוקדות לצוות המיזם
מובהר כי, היקף השירותים תלוי תקציב

10. תהליך עבודה

שלב א' – בחינת ציון סף

א. מילוי בקשה מקוונת באתר המאיץ.
ב. הגשת תקציר מנהלים ו/או מצגת משקיעים.
ג. קבלת תשובות למעבר לשלב ב' והזמנה לועדת המיון.

שלב ב' – ועדת מיון

א. פגישה עם ועדת המיון בה תוצג מצגת המשקיעים והצוות יענה על שאלות הועדה.
ב. ועדת המיון תמליץ לועדת ההיגוי על הצוותים לקבלה.
ג. הודעה למועמדים על קבלתם/אי קבלתם לתוכנית.


● האחריות המשפטית לקניין הרוחני של מועמדים לתוכנית חלה עליהם בלבד.
● הגשת המועמדות תתאפשר רק בבקשה מקוונת באתר המאיץ
● ההגשה תתאפשר עד לתאריך המופיע באתר המאיץ. לועדת ההיגוי שמורה הזכות להארכת מועד זה.
